These Terms of Service ("Terms") govern your access to and use of apexone.shop, apexone-shop.de, and any related services (collectively, the "Services"), operated by:

By using our Services or placing an order, you agree to these Terms. Our store is powered by Shopify Inc., providing the e-commerce infrastructure. These Terms apply to both Consumers (natural persons acting outside their trade) and Business Customers.

Prices, Taxation, and Invoicing (OSS System)

We operate in full compliance with EU tax regulations, including the VAT One-Stop Shop (OSS) procedure.

  • EU Consumer Sales (B2C): In accordance with EU law, the VAT rate applied to your order is the statutory rate of the country of delivery. Prices displayed on the website include this VAT.
  • EU Business Sales (B2B): For entities with a valid EU VAT ID (VIES), we issue VAT invoices. If "Reverse Charge" applies, the buyer is responsible for VAT accounting in their jurisdiction.
  • Non-EU Sales (Export): For deliveries outside the European Union, we issue net invoices (0% VAT). You are responsible for all local import duties, customs fees, and taxes upon entry into your country.
  • Invoicing: A digital VAT invoice will be issued for every transaction and sent to the email address provided during checkout.

Product Descriptions and Sim-Racing Specifics

We specialize in high-end sim-racing hardware.

  • Technical Accuracy: We strive for maximum precision in descriptions. However, minor aesthetic variations or manufacturer updates that do not affect the core performance of the hardware do not constitute non-conformity.
  • Compatibility: While we provide compatibility guides (e.g., PC/Console, Wheelbase/Rim), the final verification of compatibility with your specific rig or existing setup remains the customer's responsibility.

Order Formation and Acceptance

  • Invitation to Treat: Listings on the Services are an invitation to treat, not a binding offer.
  • Order Process: When you click "Pay Now", you make an offer to purchase. You will receive an automated "Order Acknowledgement".
  • Contract Conclusion: A binding contract is formed only when we send a formal "Shipping Confirmation" or a specific "Order Acceptance" email.
  • Right to Refuse: We reserve the right to decline orders due to stock errors, pricing glitches, or suspected fraudulent activity.

Delivery and Risk

  • Shipping: Details are governed by our Shipping Policy. Delivery within the EU typically occurs within 30 days unless a specific pre-order date is stated.
  • Passing of Risk (Consumers): For consumers, risk of loss passes upon physical possession of the goods.
  • Passing of Risk (B2B): For business customers, risk passes to the buyer once the goods are handed over to the first carrier.

Right of Withdrawal and Returns

  • 14-Day Right: EU Consumers have a statutory 14-day right to withdraw from the contract without giving a reason.
  • Diminished Value: Please note that sim-racing hardware (e.g., cockpits, pedals) often shows immediate signs of use upon mounting. If the returned goods show wear beyond what is necessary to establish their nature and functioning (e.g., scratches from mounting bolts), we reserve the right to deduct the diminished value from your refund.
  • Exclusions: Made-to-order items or personalized hardware may be excluded from the right of withdrawal.

Warranty and Legal Guarantee

  • EU Statutory Guarantee: For Consumers, we provide a 2-year legal guarantee for lack of conformity (Legal Guarantee).
  • Commercial Warranty: Many of our brands provide additional manufacturer warranties. These are independent of your statutory rights against APEX ONE S.A.
  • B2B Limitation: For Business Customers, our liability for defects (rękojmia) is excluded to the maximum extent permitted by the Polish Civil Code.

Intellectual Property

All content on apexone.shop, including logos, graphics, and product photography, is the property of APEX ONE S.A. or its licensors. Any unauthorized reproduction or commercial use is strictly prohibited.

Limitation of Liability

  • General: We are liable for damages caused by willful misconduct or gross negligence.
  • Consumers: Our liability is governed by mandatory consumer protection laws of your country of residence.
  • Business: For B2B transactions, our total liability is limited to the purchase price of the order in question. We are not liable for loss of profits or indirect damages.

Governing Law and Disputes

  • Jurisdiction: These Terms are governed by the laws of Poland.
  • Consumer Protection: If you are an EU resident, you also benefit from the mandatory laws of your home country.
  • ODR Platform: You may use the EU Online Dispute Resolution platform at: http://ec.europa.eu/consumers/odr/.
